Terms of Service
Effective as of the date these Terms are published.
These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and arcodash ("arcodash", "we", "us", "our"), a service operated by an individual sole proprietor based in Israel. By creating an account, accessing, or using arcodash, you agree to these Terms. If you do not agree, do not use the service.
1. Acceptance of Terms
By registering for an account or otherwise using arcodash, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you use arcodash on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
2. Description of the Service
arcodash is a hosted BI and data-observability platform. You connect your own data sources (such as Postgres, MySQL, BigQuery, Athena, and similar) by providing connection credentials. arcodash then runs queries against those sources on your instruction, builds dashboards and visualizations from the results, and runs data-observability monitors that you configure.
arcodash is offered as arcodash Cloud — the hosted service we operate, where arcodash runs the platform and stores certain data as described in these Terms and in our Privacy Policy. These Terms govern that service.
3. Accounts and Eligibility
You must be at least 18 years old, or otherwise of legal age to enter into a binding contract in your jurisdiction, to use arcodash. arcodash is intended for professional and business use, though individual practitioners may also use it.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must use a secure password, keep your login details private, and notify us promptly at[email protected] if you suspect unauthorized access. arcodash is not liable for loss arising from your failure to safeguard your account.
4. Acceptable Use
You agree not to:
- use arcodash for any unlawful purpose or in violation of any applicable law or regulation;
- attempt to breach, probe, or circumvent the security or authentication of the service, or access any data, account, or tenant that is not yours;
- reverse engineer, decompile, or disassemble any part of the hosted platform, except to the extent this restriction is prohibited by applicable law;
- resell, sublicense, or provide access to the service to third parties without our prior written permission;
- exceed, evade, or interfere with any rate limits, quotas, or other technical safeguards;
- use the AI-assisted query feature or any other feature to attempt to access, infer, or extract data belonging to other customers; or
- introduce malware, or use the service to transmit unlawful, infringing, or harmful content.
We may suspend or terminate access for violations of this section.
5. Fees and Billing
arcodash Cloud's published price is $200 per month, flat — unlimited seats, unlimited usage. AI-assisted query generation and data-observability monitoring are included in this price today; arcodash may offer them as separate paid add-ons in future plans.
Each organization you create begins a 14-day free trial, starting when the organization is created. No payment details are required to start one. When a trial ends, access to that organization is suspended until it is converted to a paid plan; your data is retained and access is restored on conversion.
The applicable pricing and paid terms are presented to you and require your acceptance before any charge is made. You will not be charged without first agreeing to those terms. Nothing in these Terms obligates arcodash to provide the service free of charge indefinitely, or to keep any specific feature included in the price indefinitely.
6. Intellectual Property
Your data. As between you and arcodash, you retain all right, title, and interest in the data you connect, submit, or generate through the service, including your connected data sources, query results, dashboards, and configurations ("Customer Data"). You grant arcodash a limited license to host, process, store, and display Customer Data solely as necessary to provide the service to you.
Our platform. arcodash and its licensors retain all right, title, and interest in the arcodash software, platform, interfaces, and associated intellectual property. Except for the rights expressly granted to you to use the service, no rights are transferred. arcodash's name and marks may not be used without permission.
7. Confidentiality
Each party may receive information from the other that is confidential. Each party agrees to protect the other's confidential information using at least reasonable care, to use it only to perform under these Terms, and not to disclose it except to personnel or contractors bound by comparable obligations. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
8. Third-Party Services and the AI Feature
arcodash offers an optional, administrator-configurable AI-assisted query feature. When enabled and used, arcodash sends your database schema (table and column names only) and the natural-language question or SQL text you provide to a third-party large-language-model provider (currently Google's Gemini API) in order to generate SQL. This feature does not send your actual data rows or query results to the provider. Use of the AI feature is optional; where it is available it can be enabled or disabled by an administrator of your account. Third-party providers process this information under their own terms and policies.
9. Disclaimers; No Warranty
The service is provided "AS IS" and "AS AVAILABLE", with all faults, and without warranties or conditions of any kind, whether express, implied, statutory, or arising from course of dealing or usage of trade. To the fullest extent permitted by law, arcodash disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quality, and any warranty of uninterrupted, timely, secure, or error-free operation.
arcodash does not warrant that the service will meet your requirements, that defects will be corrected, or that the service or its servers are free of harmful components.arcodash does not warrant the accuracy, completeness, correctness, or suitability of any SQL generated by the optional AI feature, or of any query result, dashboard, visualization, monitor output, alert, or other output of the service.AI-generated SQL and all outputs may be wrong, incomplete, or misleading; you must independently review and validate them before relying on them.
You are solely responsible for the correctness of the credentials, queries, and configurations you provide, for verifying every result before acting on it, and for independently maintaining your own backups of your data and data sources. arcodash is not a backup service and does not guarantee against loss or corruption of data.
10. Limitation of Liability
To the maximum extent permitted by applicable law, arcodash will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, or loss, corruption, or inaccuracy of data, whether based in contract, tort (including negligence), strict liability, statute, or any other theory, and whether or not arcodash was advised of the possibility of such damages, even if a remedy fails of its essential purpose.
To the maximum extent permitted by applicable law, arcodash's total cumulative liability arising out of or relating to these Terms or the service is capped at zero, except to the extent applicable law requires a minimum recoverable amount, in which case arcodash's liability is limited to the least amount permitted by law.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law; in that case arcodash's liability is limited to the least the law permits.
11. Indemnification
You will defend, indemnify, and hold harmless arcodash and its owner, personnel, and contractors from and against any and all claims, demands, actions, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to: your Customer Data; your data sources and the credentials you connect; your queries, configurations, and use of AI-generated or other outputs; your use of or access to the service; your violation of these Terms, of any applicable law, or of any third-party right (including data-protection, privacy, or intellectual-property rights). arcodash may assume exclusive control of any matter subject to indemnification, at your expense, and you will cooperate in the defense.
12. Termination
You may terminate at any time by closing your account. arcodash may suspend or terminate your access, with or without notice, for breach of these Terms, for unlawful or harmful use, or where required by law; we will use reasonable efforts to give notice where practical.
On termination, your right to use the service ends. For a reasonable grace period of approximately thirty (30) days following account closure, you may request export of your Customer Data before it is deleted; after that period, Customer Data associated with your account is deleted in accordance with the retention terms of our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv, Israel, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to that jurisdiction and venue.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through an in-app or website notice. Changes take effect when posted or on the date stated in the notice. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the service.
15. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. arcodash may assign these Terms in connection with a merger, acquisition, or transfer of its business; you may not assign your rights without our consent. These Terms, together with the Privacy Policy, constitute the entire agreement between you and arcodash regarding the service and supersede any prior agreements on the subject. Our failure to enforce any provision is not a waiver of it.
